1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the CRUDsys website and any services, proposals, or engagements provided by CRUDsys ("we," "us," "our"). By using this website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

2. Who We Are

CRUDsys is a digital product studio based in Karnataka, India, providing web development, UI/UX design, eCommerce, CMS integration, and related software services to clients directly through this website or through separate written agreements.

3. Services and Proposals

Specific project work (scope, deliverables, timelines, and fees) is agreed separately in a proposal, statement of work, or contract signed or confirmed in writing with each client. Nothing on this website constitutes a binding offer to perform work; it is a description of the services we generally provide.

4. Fees and Payment

Where a project is agreed, fees, payment schedule, and currency will be set out in the applicable proposal or contract. Unless otherwise agreed in writing:

• Invoices are due within the period stated on the invoice.
• Work may be paused if payment is significantly overdue.
• Fees paid for work already delivered are non-refundable.

5. Intellectual Property

Unless otherwise agreed in a project contract, ownership of final deliverables (code, designs, and content created specifically for a client) transfers to the client upon full payment. CRUDsys retains the right to reuse general methods, know-how, and non-client-specific components, and may showcase completed work in its portfolio unless the client requests otherwise in writing.

6. Client Responsibilities

Clients are responsible for providing timely feedback, accurate information, and any content, credentials, or access required to complete a project. Delays caused by missing input from the client may affect agreed timelines.

7. Third-Party Services

Projects may rely on third-party platforms, hosting providers, payment processors, or open-source software. CRUDsys is not responsible for outages, policy changes, or costs imposed by third parties outside our control.

8. Warranties and Limitation of Liability

We take reasonable care to deliver reliable, well-tested work, but services and this website are provided "as is" without warranties of any kind, express or implied. To the maximum extent permitted by law, CRUDsys is not liable for any indirect, incidental, or consequential damages arising from use of our website or services, and our total liability for any claim is limited to the fees paid for the specific engagement giving rise to the claim.

9. Acceptable Use

You agree not to misuse this website — including attempting unauthorized access, distributing malware, or interfering with normal operation of the site or its contact systems.

10. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by an updated "Last updated" date above. Continued use of the website after changes constitutes acceptance of the revised Terms.

11. Governing Law

These Terms are governed by the laws of India. Any disputes arising from these Terms or our services will be subject to the exclusive jurisdiction of the courts of Karnataka, India, unless otherwise agreed in a specific client contract.
